Who We're Looking For?

• Bachelor of Laws (Sarjana Hukum (S.H.)) degree from a recognized university in Indonesia.
• Qualified and licensed to practice law in Indonesia (Advokat).
• Minimum five (5) years of relevant post-qualification work experience.
• Combination of private practice (law firm) and in-house legal experience.
• Strong experience in contract drafting, review and negotiation, corporate legal matters, regulatory compliance, and stakeholder management.
• Proficiency in English and Bahasa Indonesia (written and spoken) is required, including the ability to read, draft, review, and negotiate legal documents and correspond effectively with internal and external stakeholders.
• Ability to provide practical, commercially focused legal advice in a fast-paced business environment.

What You'll Be Doing?

This position reports to the Regional General Counsel based in Malaysia and will supervise one (1) Paralegal in the Medan office. The role offers a flexible work-from-anywhere arrangement within Indonesia, with travel to the Medan office and other business locations required from time to time as dictated by business needs.

Key Responsibilities:

Corporate Legal Work

• Provide comprehensive legal support for the company's operations and strategic projects in Indonesia, while supporting legal matters across ASEAN jurisdictions, particularly Malaysia and the Philippines.
• Serve as the legal key person for the Greenfield Oleochemical Plant Project, advising on all legal aspects from project development through commissioning, and operational at later stage.
• Draft, review, negotiate, and advise on a wide range of letter of awards, commercial agreements, including EPC (Engineering, Procurement, and Commissioning) contracts, construction contracts, procurement agreements, supply agreements, service agreements, lease agreements, confidentiality agreements, consultancy management agreements, and other commercial documentation.
• Lead contract negotiations with local/multinational/international contractors, suppliers, financial institutions, and business partners to protect the company's legal and commercial interests.
• Draft letters to third parties, including suppliers and government institutions, about any matters, including correspondence about technical matters.
• Support financing transactions by reviewing and negotiating facility agreements, corporate guarantees, security documents, directors' resolutions, and other banking documentation with financial institutions.
• Draft power of attorney or any other documents related to corporate matters.
• Advise management on Indonesian laws and regulations relating to corporate, commercial, manufacturing, investment, employment, licensing, and compliance matters.
• Collaborate closely with cross-functional teams including Procurement, Engineering, Finance, Operations, Supply Chain, HR, and Senior Management on day-to-day legal matters.

Corporate Secretarial

• Manage corporate secretarial matters, including shareholders' and directors' resolutions, corporate governance documentation, and statutory compliance.
• Draft written resolution of shareholders for corporate approvals and amendment of articles of association, such as capital injection, appointment of directors and commissioners.
• Liaise with notaries about deed issuance for any amendment of articles of association.

Compliance

• Support licensing and regulatory compliance matters involving BKPM, OSS, KEK authorities, local government agencies, and other regulators (including NIB, SIINAS, etc), coordinate with the stakeholders including Administrator of KEK Sei Mangkei and BKPM/Ministry of Investment.
• Prepare legal advise re. new regulation that affects the company and the implementation.
• Conduct legal risk assessments and provide practical legal solutions to support business objectives while ensuring regulatory compliance.
• Monitor legal developments and regulatory changes affecting the company's business and provide timely recommendations to management.

Litigation

• Coordinate with external legal counsel on litigation, dispute resolution, regulatory matters, and specialized legal advice across multiple jurisdictions.
• Handle dispute management, claims, default notices, contractual breaches, settlement negotiations, and legal risk mitigation strategies.
• Review and advise on legal issues arising from project delays, variation orders, liquidated damages, warranty claims, and contractor performance.
• Support cross-border transactions and provide legal coordination with regional headquarters and overseas affiliates.
