Compliance & Legal Sr, Manager

We are a fast-growing fuel retail company operating a nationwide network of service stations (SPBU) and Head Office operations. We are currently seeking a highly competent and hands-on professional to join our Team.

About the Role

We are looking for a seasoned Compliance & Legal Senior Manager to lead and strengthen our legal and compliance framework in a fast-growing fuel retail business. This role will play a critical part in ensuring full regulatory compliance, minimizing legal risks, and upholding strong corporate governance practices across multi-site operations.

Key Responsibilities

Compliance

1. Develop and implement company-wide compliance frameworks in line with applicable regulations
2. Ensure adherence to Joint Venture Agreement (JVA) obligations
3. Identify, assess, and manage legal & compliance risks
4. Ensure compliance with energy and fuel retail regulations, including licensing, HSSE/K3, environmental, trade, and consumer protection laws
5. Establish internal policies, guidelines, and SOPs related to compliance
6. Lead internal and external compliance audits
7. Conduct compliance training and awareness programs across business units and sites
8. Manage audit findings and compliance violations

Legal

1. Act as a strategic legal partner to the Board of Directors
2. Draft, review, and manage legal documents, including:

• Fuel station partnership agreements
• Vendor and supplier contracts
• Land lease, construction, and maintenance agreements
• Non-fuel retail (F&B, tenants) partnership contracts
• Legal authorizations, notarial deeds, and power of attorney

1. Handle legal disputes, litigation, and non-litigation matters
2. Manage legal due diligence for new site development, acquisitions, and partnerships
3. Ensure corporate legal compliance (Articles of Association, shareholder resolutions, etc.)
4. Maintain proper legal documentation and records

Government Relations

1. Develop and execute government relations strategies (central & regional)
2. Build and maintain relationships with key stakeholders, including ministries and regulatory bodies
3. Monitor regulatory developments impacting the fuel retail business
4. Represent the company in meetings, hearings, and government forums

Permit & Licensing

1. Oversee all licensing and legal permits for fuel stations, including:

• Business and operational licenses
• Environmental and building permits
• Safety and equipment certifications

1. Maintain a licensing database and ensure timely renewals
2. Manage licensing processes for new stations, upgrades, and modifications
3. Coordinate with internal teams and government institutions
4. Mitigate risks related to licensing delays or non-compliance

Governance & Reporting

1. Prepare compliance and legal reports for the Board of Directors
2. Ensure implementation of Delegation of Authority (DoA) and GCG principles
3. Drive cross-functional coordination and prioritization

Requirements

• Minimum Bachelor’s degree in Law
• Professional Advocate certification is an advantage
• Minimum 8 years of experience in Legal & Compliance
• At least 5 years in a managerial or senior manager position
• Experience in energy, oil & gas, or retail industry is an advantage
• Strong knowledge of oil & gas and trade regulations
• Expertise in corporate law, contracts, and licensing
• Knowledge of risk management and compliance
• Strong understanding of Good Corporate Governance (GCG)
• Strong legal analysis and legal drafting skills
• Excellent communication, negotiation, and leadership skills
• High level of integrity and confidentiality
